Welcome to Indgrocart. These Terms of Service ("Terms") govern your access to and use of the Indgrocart website, mobile applications, and related services (collectively, the "Platform"). Indgrocart operates solely within the United States as a marketplace facilitator, connecting buyers, sellers, and delivery partners. Indgrocart does not manufacture, sell, store, or deliver products unless explicitly stated.
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.
1. Definitions
- "Indgrocart", "we", "us", or "our" refers to Indgrocart LLC, a company organized under the laws of the United States.
- "User" refers to any individual or entity using the Platform, including Buyers, Sellers, and Delivery Partners.
- "Buyer" means a user who purchases goods for lawful purposes within the United States.
- "Seller" means an independent merchant, retailer, manufacturer, or distributor offering goods for sale through the Platform.
- "Delivery Partner" means an independent third-party logistics provider or individual contractor.
- "Transaction" means an order placed by a Buyer and accepted by a Seller via the Platform.
2. Role of Indgrocart as Marketplace Facilitator
- Indgrocart provides a technology platform that enables:
- Sellers to list and sell products
- Buyers to discover and purchase products
- Delivery Partners to fulfill deliveries where applicable
- Indgrocart is not the seller of record and is not a party to the sales contract between Buyers and Sellers.
- Title to and risk of loss for products pass directly from Seller to Buyer.
- Sellers are solely responsible for product quality, safety, labeling, warranties, recalls, and legal compliance.
3. Eligibility & Account Registration
- Users must be at least 18 years of age and capable of forming legally binding contracts under U.S. law.
- Users must provide accurate and current registration and tax information.
- You are responsible for safeguarding your account credentials and all activities conducted under your account.
- Indgrocart may suspend or terminate accounts for violations of these Terms or applicable laws.
4. Seller-Specific Terms (U.S.)
- Sellers represent and warrant that they:
- Are legally registered and authorized to operate in the United States
- Comply with all applicable federal, state, and local laws, including consumer protection, product safety, and labeling laws
- Hold all required licenses and permits
- Sellers are responsible for:
- Accurate product descriptions and pricing
- Order fulfillment, cancellations, returns, and refunds
- Product warranties and customer support
- Maintaining required insurance coverage, if applicable
- Indgrocart may collect marketplace facilitator fees, commissions, or service charges pursuant to a separate Seller Agreement.
5. Buyer Terms (U.S.)
- Buyers agree to use the Platform for lawful purposes only.
- An order placed by a Buyer constitutes an offer to purchase, which is accepted when confirmed by the Seller.
- Returns, refunds, and exchanges are governed by the Seller's stated policies unless otherwise required by law.
- Buyers shall not engage in fraud, chargeback abuse, or misuse of promotional credits.
6. Delivery Partners
- Delivery Partners are independent contractors and not employees, agents, or joint venturers of Indgrocart.
- Delivery Partners are responsible for compliance with:
- U.S. federal, state, and local transportation laws
- Vehicle, licensing, insurance, and safety requirements
- Indgrocart does not control the manner or means of delivery services.
7. Payments, Taxes & Marketplace Facilitator Obligations
- Indgrocart may facilitate payments through third-party payment processors.
- As a marketplace facilitator, Indgrocart may be required to collect and remit applicable U.S. sales tax on behalf of Sellers in certain jurisdictions.
- Sellers remain responsible for all other taxes, including income, franchise, and use taxes.
- Settlement timelines, deductions, and chargebacks are governed by the Seller Agreement.
8. Prohibited Conduct
Users shall not:
- Violate U.S. federal or state laws
- List illegal, restricted, or counterfeit goods
- Infringe intellectual property rights
- Provide false tax or identity information
- Interfere with Platform security or operations
9. Intellectual Property
- All Platform software, trademarks, logos, and content are owned by Indgrocart or its licensors.
- Users are granted a limited, non-exclusive, revocable license to use the Platform.
10. Disclaimers
- The Platform is provided on an "AS IS" and "AS AVAILABLE" basis.
- Indgrocart disclaims all warranties to the fullest extent permitted under U.S. law.
11. Limitation of Liability
To the maximum extent permitted by law, Indgrocart shall not be liable for indirect, incidental, special, or consequential damages arising out of Transactions or Platform use.
12. Indemnification
Users agree to indemnify and hold harmless Indgrocart from claims arising out of:
- Breach of these Terms
- Violation of U.S. laws or regulations
- Seller products or delivery services
13. Termination
Indgrocart may suspend or terminate access to the Platform at its discretion, subject to applicable U.S. law.
14. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the State of Missouri, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Missouri.
15. Changes to Terms
Indgrocart may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the revised Terms.
